Paid Source Request Brand Terms

1. Acceptance

1.1 By submitting to this request, you agree to the Paid Source Request Brand Terms ("Terms"). They apply to each submission you make to a Paid Source Request on Press Hook.

1.2 If you are submitting on behalf of a company, client, or other person or entity, you confirm that you are authorized to accept these Terms on their behalf, and that "you" includes both you and that person or entity.

1.3 Press Hook may approve, decline, or remove any submission at its discretion.

2. Definitions

2.1 Paid Source Request (or "Request"): a source request posted on Press Hook by a Media Member to which Brands can submit themselves for inclusion in paid media coverage or a promotional opportunity that may include, but is not limited to, an article, feature story, broadcast segment, or event.

2.2 Media Member: the journalist, writer, editor, creator, or other representative who posts a Paid Source Request.

2.3 Brand: any company, product, expert, or representative that submits to a Paid Source Request.

2.4 Placement: the specific media coverage or promotional opportunity described in the Paid Source Request. Where a Request offers multiple Placements, “the Placement” means the one you are included in.

2.5 Placement Fee: the fee that a Brand pays in exchange for inclusion in the Placement.

3. Submissions and Acceptance

3.1 To be considered for inclusion in the Placement offered in a Paid Source Request, you must submit to the Request.

3.2 Unless otherwise stated in the Request, submitting does not guarantee inclusion in Placement. The Media Member, at their sole discretion, decides which submissions to accept for inclusion.

3.3 You will only be charged the Placement Fee if the Media Member accepts your submission for inclusion in the Placement, as described in Section 5.2.

3.4 All submissions are final and cannot be withdrawn once submitted. If your submission is accepted for inclusion in the Placement, it may only be cancelled or refunded as described in Section 6.

4. The Placement

4.1 The Placement will be executed in the manner described in the Paid Source Request, such as an article being published or segment being broadcast, within ninety (90) days of the Request closing, or within the timeframe specified in the Request, whichever comes later. Where a Request is posted as Ongoing, within ninety (90) days of your submission being accepted.

4.2 The Media Member and the associated outlet or organization described in the Paid Source Request retain full editorial control over the Placement, including wording, headlines, images, links, products, and timing, unless otherwise stated in the Request.

4.3 The Placement may include a sponsored-content or paid-placement disclosure as required by law (including the FTC Endorsement Guides), or as required by the outlet or organization.

4.4 Press Hook does not guarantee any results from a Placement, such as views, engagement, traffic, or sales.

4.5 Any products or materials you send to a Media Member in connection with a Paid Source Request will not be returned, and do not count as credit toward or change the Placement Fee, unless otherwise stated in the Request.

5. Payments

5.1 Payments are processed through Stripe. All Placement Fees are listed and charged in U.S. dollars.

5.2 You must provide a valid payment method when submitting to a Paid Source Request. If the Media Member who posted the Paid Source Request marks your submission as "accepted" for inclusion in the Placement, the Placement Fee will be charged automatically to the payment method provided. By submitting, you authorize Press Hook to make this charge.

5.3 If a charge for an accepted submission fails, Press Hook may continue to attempt to collect the payment, or cancel your inclusion in the Placement.

6. Refunds

6.1 If your submission is accepted but you are not included in the Placement, or if the Placement is cancelled, Press Hook will refund your Placement Fee as outlined in Section 6.3.

6.2 If the Placement is not executed as described in the Paid Source Request or within the timeframe in Section 4.1, Press Hook may, at its discretion, notify you of any changes, issue a credit to your Press Hook account, or refund your Placement Fee.

6.3 If you believe you were not included in a Placement to which you were accepted, or that the Placement was not executed as described in the Request, you must notify Press Hook by sending an email to support@presshook.com with a link to the Placement within thirty (30) days of the Placement having been executed. Press Hook will review your claim, and may request additional information from you and the Media Member responsible for the associated Request. Press Hook will determine, in good faith and at its discretion, whether you are entitled to either a refund or credit issued to your Press Hook account, and in what amount, and that determination is final. Claims submitted after the thirty (30) day period are not eligible for a refund.

6.4 Refunds are issued to the original payment method and typically arrive within 5-10 business days, although arrival times may vary based on your financial institution. Press Hook is not responsible for refunds after they have been issued.

6.5 Credits and refunds of the Placement Fee will only be issued under the conditions stated herein, and will not be issued for any other reason, including dissatisfaction with the Placement in which you were included.

7. No Solicitation or Circumvention

7.1 All submissions to a Paid Source Request must go through the Request post. You will not contact, offer or make payment to a Media Member for inclusion in the Placement outside of the Paid Source Request.

7.2 You may communicate with a Media Member as needed to coordinate your submission to a Paid Source Request, such as sending product samples or answering questions about your submission.

7.3 For twelve (12) calendar months after you submit to a Paid Source Request, you will not attempt to initiate or propose any paid media coverage or promotional opportunities with the Media Member who posted the Request, other than through Press Hook.

8. Your Representations

8.1 By submitting to a Paid Source Request, you represent and warrant that:

(a) all information and materials you submit, including product claims, pricing, and credentials, are accurate, not misleading, and supported by evidence where required by law;

(b) you own or have the necessary rights to all materials you submit, including images, logos, and text; and

(c) your products and services, and your participation in the Placement, comply with all applicable laws.

8.2 You grant the Media Member, the associated publishing outlet or organization, and Press Hook a non-exclusive, royalty-free license to use, reproduce, edit, and publish the materials you submit in connection with the Placement and its promotion.

9. Enforcement

9.1 If you violate any of the Terms as set forth herein, Press Hook may remove this and any other Paid Source Request submissions you have made, cancel any pending inclusion in Placements without refund, and suspend or terminate your access to Press Hook.

10. Indemnification

10.1 You agree to defend, indemnify, and hold harmless Press Hook and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to: (a) your submissions or the information and materials you provide; (b) your products or services; (c) your breach of these Terms, including the representations in Section 8; (d) any dispute between you and a Media Member, outlet, or organization; or (e) your violation of any law or third-party right.

11. Limitation of Liability

11.1 To the fullest extent permitted by law, Press Hook will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, or business opportunities, arising out of or related to these Terms, any Paid Source Request, or any Placement.

11.2 To the fullest extent permitted by law, Press Hook's total liability to you for all claims arising out of or related to these Terms will not exceed the Placement Fee listed in the Paid Source Request giving rise to the claim.

12. General

12.1 Except as outlined in Section 6, Press Hook is not responsible for the execution, content, or results of any Placement, or for the conduct of any Media Member.

12.2 Press Hook reviews Media Members before they may post Paid Source Requests, but does not guarantee the accuracy or completeness of any information Media Members provide, including claims about their outlets, audiences, or reach.

12.3 These Terms are governed by the laws of the State of Georgia.
